Legal Counsel – Maternity Cover

Pool RE

Location: London – Hybrid role with 60% office attendance

Salary: £85 000 + depending on experience

About the role:

This role sits in the Legal Function, who are looking for a Legal Counsel to provide expert legal guidance and strategic advice to senior leadership and teams across Pool Re and its subsidiaries. In this role, you will work closely with the Legal Counsel and General Counsel to identify and manage legal and regulatory risks, deliver practical and solutions-focused support, and safeguard the organisation’s interests at all times

Role responsibilities:

  • With the General Counsel and Legal Counsel, working with the Commercial Services function to ensure proportionate and effective procurement/contracting processes are in operation; standard terms and conditions are available as required and maintained; and where necessary, third-party contracts with outsourced and external providers to the Pool Re Group are drafted and reviewed.
  • Assisting the General Counsel with queries on the Company’s contractual documentation with HM Treasury (the Retrocession Agreement and Framework Agreement) and with its members (principally, the standard-form Reinsurance Agreement, Membership Agreement), and considering any potential amendments to such documentation.
  • Assisting the General Counsel with the provision of ongoing legal support to the Company in respect of risk mitigation projects funded by the Company via its Counter-Terrorism Alliance with the Home Office.
  • Undertaking research into any legal matters likely to affect the Pool Re Group, assisting in preparing briefings for the General Counsel and management, as necessary. This may include advising on competition, subsidy control, public law, public procurement, contractual and intellectual property law matters, amongst others and/or instructing external law firms to advise on such matters, as required.
  • Assisting the General Counsel with special projects as required (e.g. definition of terrorism, insurance-linked security placement etc.).
  • Assisting in the identification and management of legal risk and the co-ordination of financial crime prevention activities across the organisation.
  • Attending internal and external meetings with the General Counsel, and deputising for the General Counsel in their absence.

Risk Responsibilities

Whilst for the purposes of Pool Re’s Risk Management Framework, your role does not give rise to formal Risk Owner or Control Owner status, all employees have a responsibility to ensure that they are familiar with the Risk Framework and (1) understand the concepts of risk controls and emerging risks, so that they are able to identify these and propose actions to the Risk Function and/or raise any risk events as necessary, (2) understand the concept of emerging risks so that they are able to identify possible emerging risks and raise these with the Risk Function, as necessary; (3) work collaboratively and openly with the risk management Function to ensure a positive Risk Management culture.

What we are looking for in you:

Soft skills required:

  • A strong and rigorous intellect, but with an ability to adapt technical knowledge and a practical approach to problem solving
  • Excellent written communications skills, with the ability to draft complex documents in a clear and concise manner.
  • The ability to communicate effectively with third parties, as well as the Pool Re Board, senior managers, and other internal clients.
  • The ability to build and maintain contacts externally with the legal, regulatory and compliance communities.

Experience required:

  • Graduate and qualified solicitor in England & Wales or equivalent 
  • Demonstrable experience with a leading law firm, commercial insurer or reinsurer, and/or a central government department or arm’s length body.
  • In-depth understanding of contract law, and, ideally, of those forms of contract pertinent to the conduct of an insurance or reinsurance business.
  • Experience and understanding of the legal and commercial requirements and, ideally, issues of insurance and reinsurance.
  • Knowledge across a number of areas such as company/commercial, regulatory, competition, public procurement, employment, governance, and data protection.
  • Desirable: experience and understanding of the insurance legal and regulatory landscape.
