On behalf of DHSC Care Quality Commission, we are looking for a Senior Corporate Secretary Inside IR35 for a 3 month contract (possible extension) based Remote (with monthly travel to London or Newcastle office)
Role purpose:
To provide effective and efficient support to CQC’s Executive Team (ET), and other committees as needed. The role holder will provide advice and guidance on issues of Corporate Governance and in particular regulations of meetings and proceedings of committees.
The main duties and responsibilities of the Senior Corporate Secretary would be to:
- Assure the effective decision making capability of the board by providing a robust and comprehensive service to the Executive Team, and other committees as needed, to ensure the administration of Executive Team activity consistent with Corporate Governance arrangements.
- Organise agendas and the co-ordination and distribution of papers and reports for the Executive Team and other Committees as needed in association with the Chief of Staff and Governance Manager
- Work with the Chief of Staff and Governance Manager to plan performance of the Executive Team and other committees as needed to meet deadlines; horizon scan to identify and resolve future issues
- Work with colleagues across the other governance teams to deliver wider directorate objectives.
- Helps to co-ordinate the governance arrangements between the Board, committees and senior management groups.
- Ensure common standards are applied across all committees supporting the governance arrangements.
- Attend key meetings and prepares the official record of key issues, decisions taken and actions agreed, ensuring draft minutes are available promptly for review.
- Develop clear and concise action plans, and follows up that actions are being implemented by those responsible.
- Support the Chief of Staff in the planning of CQC’s Executive Team
- Ensure that the decision making process is managed in line with governance procedures and relevant information is made available & communicated to the organisation, other relevant bodies and the public
- Articulate governance advice clearly and quickly under pressure during meetings
- Ensure the accurate storage and maintenance of official Committee business records in safe, secure and retrievable systems
- Work on own initiative, dealing with complex and competing deadlines and agendas
- Provide analysis and advice to members on governance and policy issues as required, ensuring this is underpinned by CQC’s strategic direction
- Liaise with external regulators, audit and advisers
- Actively promotes and protects equality, diversity and human rights through the duties of the role
Essential:
- Previous experience of working in a Secretariat
- Demonstrable experience in supporting a senior corporate decision making forum or committee structure
- Experience of dealing with complex corporate governance issues
- Organisational skills of the highest order in planning Executive Team business and other competing duties to ensure that the service provided is effective and in keeping with good practice and corporate governance
- Able to reassess priorities on a continual basis
- Copes with ambiguity and is comfortable working independently in a dynamic environment
- Flexibility to deal with frequent requirements to change tasks in response to colleague requests
- Ability to communicate effectively and confidently with senior members of the Executive Team and other stakeholders, with previous experience of working at this level
- Demonstrable high level of written communications skills, in particular minute taking and creating a record of meetings
- Experience of leading, managing and developing a high performing and flexible team, with the ability to manage and support individuals’ performance and development
- Good working knowledge of IT systems including Microsoft Office packages (Outlook, Word, Powerpoint, Excel)
- Open to learning, flexible and adaptable to changes in circumstances.
- Experience of Diligent board portal desirable but not essential
